Dismissal of the director of the company. Effects on the deeds concluded by the director on behalf of the company, prior to his dismissal

Abstract

The fact that, subsequently to the conclusion of certain contracts, the legal representatives of the signatory company have been dismissed as a result of certain court orders, may not arise in the conclusion of vitiating the consent of the company, previously, upon conclusion of the contracts.

Therefore, this situation may not justify the declaration of absolute nullity of these contracts for lack of consent, however, it only confers the right to a possible action for liability against directors, under the provisions of art. 155, respectively art. 155¹ of Law no. 31/1990.
