The provisions of Article 153¹⁸ under Law No. 31/1990 set forth that the General Meeting of Shareholders shall ensure, when establishing the remunerations and other benefits granted to the Director or the members of the Board of Directors, that these are justified in relation to the specific duties of the relevant individuals and the Company’s statement of affairs.

The Resolutions of the General Meeting may be challenged in court only if they are contrary to the law or to the Articles of Incorporation, therefore only on grounds of illegality, and not on opportunity grounds relating to the method of determining the amount of the Directors’ allowances.
