Abstract

The critical view regarding the wrong interpretation by the appeal court of the dispositions of art. 983 and 1312 of the Civil Code in the sense of construing the doubtful clause in favour of the buyer, since the clause instituted by art. 2 of the sale and purchase contract cannot be considered a doubtful clause in the sense of art. 983 of the Civil Code, the wish of the parties being clearly expressed, namely the obligation of the buyer to give back the shares in case the process of division of the company is not fulfilled by 30 June 2009.
