ABSTRACT

As follows from the definition of a company, in contractual terms, a company is constituted by the conclusion, by two or more persons^[1], of a contract (memorandum of association) which must meet all the substantive requirements for the validity of a legal act: consent, capacity, object and cause.

REZUMAT

Aşa cum rezultă din definiţia societăţii comerciale, din punct de vedere contractual, societatea se constituie prin încheierea, de către două sau mai multe persoane, a unui contract de societate (act constitutiv) care trebuie să îndeplinească toate condiţiile de fond cerute pentru valabilitatea unui act juridic: consimţământ, capacitate, obiect determinat şi cauză.
